Membership of RealStew Connect
1. RealStew Connect facilitates the connecting of communities and people and recognizes the ‘strength in numbers’ and the free choice of Members to elect to use any Applications as and when required with one caveat and that is that when using any Application promoted by the site the Member agrees to the Terms & Conditions under which the Application may be used.
2. Membership is available to all individuals, businesses and organizations.
3. In keeping with the spirit of working together, RealStew Members agree to group their ‘Contacts’ in a central repository and to share access to this repository without reference to the source of the data or Contacts contributed. The Members agree to cross reference this data against publically accessible data and assist with the updating of the data thereto as and when such data is made available. Where data in the repository does not include an e-mail address the ‘Status’ of the Member Contact is shown as Directory Member. With an e-mail address the Status upgrades to Visitor. The ‘Status’ upgrades to Member who is Not Sharing when the Member agrees to be bound by the Terms & Conditions of the site and thereby gain access to the use of the collective directory of contacts and use any RealStew or third party applications. The ‘Status’ will upgrade further to Member who is Sharing once the Member qualifies to receive a share of the RealStew revenue pool.
4. Individuals below the age of 14 require parental consent to change their status from Visitor to Member who is Not Sharing.
5. Any Visitor can in terms of Term 25 & 26 request that data relating to the Member be removed from the register of Members.

Cost of Membership
6. There is no cost to Membership.

Amendment of Terms and Conditions
7. Members wishing to use any of the services and applications promoted by Realstew agrees to be bound by the terms & conditions as recorded and updated from time to time on the URL www.realstew.com.
8. The founder and promoter of RealStew Connect is REALSTEW CONNECT LIMITED, a company incorporated in terms of New Zealand Company law, (hereinafter referred to as 'the Company'). The Company is the exclusive holder of the worldwide rights to the intellectual property and associated technologies involved directly and indirectly in the business.
9. The exclusive rights to the intellectual property and associated technology have been acquired by RealStew Connect Limited on commercial terms as embodied in a license agreement concluded with RealStew Holdings Limited.
10. The Company, or its duly appointed agents, are entitled from time to time to amend the Terms & Conditions of Membership. Updated Terms & Conditions will be published on the www.realstew.com URLS.
11. It is the responsibility of the Member to ensure that these changes are noted.
12. RealStew is a Social Network Site with Members agreeing to come together and be connected under a core philosophy and understanding as embodied in the principle 'A Global Community That Shares'.
13. All Members are required to respect this principle and to act at all times in the spirit of this principle. The Company or its duly appointed agents will be the exclusive arbitrator as to whether, intentionally or negligently, the spirit of this principle has been breached in any way.

Respect RealStew: “A Global Community That Shares’.
14. Should the Company be of the view that any Member has acted in such a way as to have performed an act or omission that is in breach of this principle, then the Company shall be fully authorized, without being subject to review, to do whatever the Company feels is necessary to remedy the breach. Such steps might include the cancellation and termination of Membership or an imposition of a sanction of some type. Both the ruling and the sanction shall not be subject to any review process.
15. RealStew is a co-operative Social Network Site where Members are encouraged to be active participants in the use of any trading platform or application promoted by RealStew Connect including the subscription to the Foundation Club Notice Board.
16. In keeping with the spirit of free choice and recognizing and rewarding the participation of the Members, it is agreed that a greater portion of the rewards from working together and actively promoting the site and its services will be shared with those Members that are more participative in assisting to grow the RealStew Connect network than those that are not.

RealStew Management
17. The Management of the RealStew network is under the exclusive control of the Company or it’s duly appointed agents.
18. Services are offered to Members of RealStew via the URL www.realstew.com or any other URL as specified at the time, on terms and conditions to be published and agreed upon.
19. All service or Applications promoted will be made available and subject to the acceptance of the terms and conditions of the use of the service.

Issue and allotment of shares in RealStew Connect Limited
20. RealStew Connect Limited has an issued share capital of 100 million ordinary shares with 80 million shares issued and allotted to the founding directors and promoters of the Company and the remaining 20 million shares issued, allotted and registered in the name of RealStew Nominees Limited, a company registered with limited liability in terms of the Company Law of New Zealand (hereinafter referred to as the 'Nominee Shares'). Should the board believe it necessary to capitalize the Company further or strengthen its balance sheet in any way and where such capital raising results in the issue of shares it may do so once 50% or more of the Shareholders of the Company agrees to such rights issue. RealStew Nominees Limited, through the Board of Directors of such Company, shall support at all times any decision to raise capital or strengthen the balance sheet of the Company.
21. The Nominee Shares are held by RealStew Nominees Limited and will continue to be so registered and held until the Board of Directors feel necessary. Eventual distribution will be made of the shares through the process of registering title to the shares in the name of a person or entity entitled to receive such title, the benefits. No Member or beneficial holder of accrued rights shall have the right to challenge in any way RealStew Nominees Limited's right to hold the registered shares nor demand registered title to the shares until the Board of Directors of RealStew Connect Limited and RealStew Nominees Limited passes a resolution to allow the nominee shares to be transferred to beneficial holders. The Directors of RealStew Connect Limited and RealStew Nominees Limited are authorized to amend the Nominee structure of the shares to accommodate any changes that may be required to optimize, for the Beneficial Right holders, the tax effects of the structure.
22. A Member shall receive assigned and accrued benefits linked to parcels of shares within the Nominee pool of shares as follows:
22.1. Up to a maximum of 15 million of the 20 million shares and at the rate of 1000 'Shares' per allotment will be allotted / assigned to a paid up subscriber of the Foundation Club Notice Board, hereinafter referred to as 'The Foundation Club'. Once the accrued rights and benefits to the 15 million shares have been allotted there will be no further allotments so made for further subscriptions, other than those stipulated under Clause 20 above.
22.2. Subscription to the Foundation Club and receipt of the allotted rights to the shares is limited to Individuals. The rights relating to the shares are a one-off allotment at the time of the receipt of the first year's subscription fee. To The Foundation Club.
22.3. No Individual subscriber may take up the offer and Membership of the Foundation Club with more than three e-mail address.
22.4. A further parcel of no more than 1 million of the Nominee Shares will be distributed to all 'Cube holders' at the rate of 1 share per 1 cube held in terms of the cube allocations as promoted and executed on the www.realstew.com URL. Any shares within this parcel of 1 million shares not issued to 'Cube holders', will be under the control of the Board of Directors of the Company and may be allocated according to their discretion. Any former RealStew.Com members who do not activate their RealStew Connect account by the 31st December 2010 will have their Membership of RealStew.com unsubscribed and thereby forfeit any Nominee shares reserved for them. Should they after this date become a member of RealStew Connect their links will be reinstated but any forfeited shares shall not be returned. Should RealStew Management elect to restructure the capital by way of a rights issue such restructuring shall not in any way dilute the effect shareholding that ‘Cube Holder’ Members have in the Company
22.5. The accrued rights and benefits to 3.5 million Nominee shares will be allotted and assigned at the rate of one hundred shares to each Member who has 5 or more first level linked Members linked to such Member in a ‘Parent – Child’ relationship as defined by Terms 48 & 49.
22.6. The accrued rights & benefits to the balance of the shares (500 000) may be apportioned as and how RealStew Management feel appropriate.

Notifications
23. An on-line trading platform will be made available for all active Members to trade their rights and benefits and thereby cede and assign their claim to title of any shares they hold in the Nominee pool of shares.
24. From time to time the RealStew Team will place details of up coming events and announce new products and services on Notice Boards.
25. There are certain process e-mail notifications that will be required to be sent from time to time by RealStew. For example, that there is money available ready for collection. It will not be possible to unsubscribe from receiving these notifications.

Unsubscribing and De-Registration
26. Should a member wish to de-register or unsubscribe as a Member of RealStew this can be done by the Member e-mailing such request to unsubscribe@realstew.com in the instance where the Member is designated with the Data status or Visitor status or by clicking on the 'unsubscribe me' from RealStew Connect where Member is designated as or . Such ‘unsubscribe me’ tab is located in numerous places on the site such as the bottom of each User Group Notice Board next to 'terms & conditions' and other locations and the bottom of any logged in Weblet.
27. Any de-registration (unsubscribe) will result in a Member forfeiting any accumulated entitlement to shares within the Nominee parcel of shares held by RealStew Nominees Limited and any other accrued or future benefits that would have accrued if the Member had retained Membership. Any money in the Trading Accounts as at the time of such de-registration will be treated as revenue by RealStew Connect and distributed in accordance with the standard distribution policy of the company. Any re-registration will NOT restore any links as existed prior to the member unsubscribing and the Member will have to start creating a new set of down line links.
28. Should a Member elect to cancel Membership and unsubscribe, such decision will result in the unsubscribed Member no longer having access to any applications or services. Any publically available information or data of the former Member shall still remain on the repository and continue to be updated by any Member in the course of communicating with any RealStew registered Member.

Statement on Privacy and Policy relating to Privacy
29. RealStew is committed to protecting your privacy and developing technology that gives you a powerful and safe online experience. This Statement of Privacy applies to the RealStew Web site and governs data collection and usage. By using the RealStew applications, you consent to the data practices described in this statement.
30. RealStew collects personally identifiable information, such as your e-mail address, name, gender and country of residency in the case of Individuals and information as to the nature of a members business or organization if membership is as a business or organization.
31. RealStew collects information from Members at several different points on the website - this is for Member service and billing purposes. The information is also collected so that we RealStew can customize the content and/or advertising site according to individual preferences. User details will be used only to provide service(s) specifically requested by the User. User information will not be disclosed to a third party unless the Member specifically authorizes RealStew to do so pursuant to an Application, product or service accessed or acquired by the Member.
32. RealStew does not sell, rent, swap, lease or give away its Member lists to third parties. RealStew will at no time use this information without the express authority of its Members

Cookies, Log files, Web links and Survey's & Contests
33. A cookie is a small text file written to a Member's hard drive that contains the User ID.
34. The cookies do not contain any personal information about users.
35. The use of cookies is now widespread. The reason we use cookies is to save Members time on the site (so that users do not have to log in with a password more than once); and also so that the experience of the user can be personalized. A Member can set up the computer browser to reject the cookie and still use the RealStew site. Should the member do this the functionality may be impaired and or the Member will not enjoy the full benefits of the site.
36. Whenever a User requests a page, username, IP address, browser version and operating system are stored in a log file. This information is only used for statistical purposes to help improve this site and provide accurate statistics to advertisers in the form of aggregated data.
37. This web site, through created & premium ads and third party developer applications, contain links to other sites. It must be noted that should a Member access these links to other sites, RealStew is not responsible for the privacy practices of such other sites. It is imperative for Members to read the privacy statements of these third party sites.
38. From time-to-time RealStew may request information from users via surveys or contests. Participation in these surveys or contests is completely voluntary and the Member therefore has a choice whether or not to disclose any information requested. Information requested may include contact information (such as name and delivery address), and demographic information (such as postcode, age level). Contact information will be used to notify the winners and award prizes. Survey information will be used for purposes of monitoring or improving RealStew's services.

Security of your Personal Information
39. RealStew secures your personal information from unauthorized access, use or disclosure. RealStew secures the personally identifiable information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure.
40. RealStew will occasionally update this Statement of Privacy with changes reflecting feedback from company and customers. RealStew encourages you to periodically review this Statement so that you will be kept informed as to how RealStew is protecting your information.
41. RealStew welcomes your comments regarding this Statement of Privacy. If you believe that RealStew has not adhered to this Statement, please contact info@realstew.com .RealStew will use commercially reasonable efforts to promptly determine and remedy the problem.

RealStew is a Trading Platform
42. The Company agrees to defend and hold the customer harmless from invasion of privacy, hacking and/or viruses, however cannot be held responsible for damage unless it is directly caused by Company carelessness and/or neglect.
43. RealStew acts purely as an online 'match maker' platform where Members are put into contact with one another. Any commercial, communication, or social interaction thereafter is solely between the Members.

RealStew Value Add Service
44. RealStew does not take any responsibility, vicarious or otherwise, for any interchange that may thereafter take place as and between the Members.

Use of Credit Card Merchant Facility
45. RealStew will provide, from time to time, value add services where a stipulated fee will accrue. Some of the Value Add services shall be optional while others, where stated, will be compulsory.

Division of Revenue to RealStew Members
46. Any payments which proceed through the credit card financial gateway or merchant facility gateway will, unless stated to the contrary, be expressed and levied in New Zealand dollars.
47. RealStew Credits acquired by Members from RealStew Connect are redeemed by Members as and when they elect to use products & services promoted by the site. Revenue, from the sale of RealStew Credits, is distributed by RealStew Connect in accordance with these terms & conditions.
48. The first division of the money, to those Members that qualify to receive their share, will be attended to and reflected in the StewVille Money screens.
49. A link is created within the RealStew system whereby any Member with the status of Member who is Not Sharing or Member who is Sharing is the effective cause whereby any Member with the Directory Member or Visitor changes their respective status and agrees to be bound by the Terms & Conditions of using any Application promoted by the site.
50. When a Member changes their status (by agreeing to the Terms & Conditions of using any Application) from Directory Member or Visitor to Member who is Not Sharing a 'Parent - Child' relationship is established as per the link referred to in 48 above. A 'Parent' can have many 'Children' but a 'Child' cannot be linked to more than one 'Parent'.
51. Should the 'Child' (designated Member who is Not Sharing or Member who is Sharing) then be the effective cause whereby Members designated with Directory Member or Visitor convert their status to Member who is Not Sharing then a new 'Parent - Child' relationship is created between the Child in the first instance now becoming a 'Parent' and the Member with the upgraded and changed status becoming the 'Child'.
52. The process of Parent -Child linking is an on going process and there is no limit as to how many ‘Children’ may be linked to a ‘Parent’.
53. As regards the sharing of the revenue received fro3m the sale of RealStew Credits:
53.1. The Member who purchased the RealStew Credits is recognized as the revenue source.
53.2. On receipt of the revenue it will be shared as follows:
53.2.1. 35% will be retained by RealStew Connect Limited.
53.2.2. 5% will be allocated to the RealStew Philanthropic Application (REAL Trust) and used to fund social and community projects in accordance with the philanthropic charter of REAL Trust.
53.2.3. 6% will be retained by the Company to cover any secretarial or administrative costs.
53.2.4. The balance of 54% will then be divided into 6 parcels and credited to an Annuity Ledger card linked to the first 6 'Active' Members who are 'Parent' or 'Grand Parent' or 'Great Grand Parent' from the source Member.
54. Only 'Active' Members will participate in this distribution. A Member can activate his Membership account and start sharing the financial benefits of this Membership by following one of three processes as detailed in term 56 of these Terms & Conditions. A Member will be designated Member who is Sharing once they have ‘activated’ their account.
55. A situation will occur where the product or service used by the Member has been provider by a third party developer or supplier. The negotiated cost for such product or service will be covered by reversing the appropriate portion of the revenue previously distributed to RealStew Connect and the Annuity Accounts of the 'Active' Members at the time of such product or service is purchased from the Third Party Service Provider. Such reversal shall be in the ratio 35:54 as per RealStew Connect and Annuity Accounts. No Member shall raise any objection to this reversal being processed nor shall any Member so impacted by the reversal object to the reversal on the basis that the Member was not the previous beneficiary of the revenue now so reversed.

Activation of Membership Annuity Account
56. RealStew Connect Limited is authorized to levy a deduction of 2% at midday New Zealand time on Friday of each week from the balances reflected on each members StewVille Money screens and supplement these amounts with a maximum of NZ$500-00 per week from its own resources and distribute this to ALL Members within RealStew in away that RealStew Connect Management believes will best promote the growth of RealStew Connect Membership.
57. Activation of a Members Annuity Account will take effect, whichever the earliest, in one of three ways:
57.1. On the 1st of the Month 12 months from the date they registered as a Member of RealStew Connect; Or
57.2. On the 1st of the month following the month in which the Member is credited to have secured the 25th first level registration of a Member to RealStew Connect (Registered 25 or more children in the ‘Parent – Child’ relationship as defined by Term 48 & 49) Or
57.3. 24 hours from the time and date that the Member became a subscriber of the Foundation Club Notice Board;
57.3.1. Notwithstanding when the Member activated his Annuity account the division of the funds will not be undertaken until the software to attend to such division has been completed. This is expected to be in early July 2010. Any funds collected prior to this time will be shared with any Members who have activated their accounts prior to the program for the distribution of the funds has been completed.
57.3.2. In support of the Member's activation and the RealStew Network each Member agrees that RealStew Connect is authorized to redirect, at the end of each month, from any Annuity money earned that month in any Annuity account in the World sufficient funds to purchase up to a maximum of 10 RealStew Credits at a price of NZ$1-00 per unit, or at least 10 units of the currency of the registered domicile of the Member which ever the greater.
58. Should a Member for whatever reason fail to logon to his RealStew account and post at least one message or initiate any CHAT communication in any 30-day cycle then the status of such account shall change to 'Non-active' and the Member will stop sharing any portion of the annuity income. The account shall however be re-activated from the time the Member logs on again and then posts at least one message or initiates any CHAT communication.

Publication of material on Notice Board
59. Should a Member within any 12-month cycle fail to logon and post at least one message or initiate any CHAT communication then the Member shall for three consecutive months receive an e-mail prompt from RealStew Connect to activate the Members account. Should, notwithstanding such prompts, the Member fail to login in and post any messages or initiate any CHAT communication then it will be assumed that the Member has elected to unsubscribe from RealStew Connect and the Member will be unsubscribed forthwith.
60. Any material published on any User Group Notice Board is as and between the parties and Members using the Notice Board, in keeping with the strict privacy policy of the Company, no technical or management personnel shall have the right to view any of the material so published.
61. Any Member authorized to participate on a User Group Notice Board and who objects to any material published on the Notice Board may tender a complaint to complaints@realstew.com whereupon it will be dealt with by the RealStew Connect management team in an appropriate manner based on the circumstances and nature of the complaint.
62. Should the majority of the Members on a Notice Board have objections to any material published on a Notice Board by another Member they can request that it be removed and it will be removed by contacting complaints@realstew.com On receipt of the complaint the material will be removed.

RealStew Credits and redemption of RealStew Credits for products & services rendered.
63. Should the majority of the Members on a Notice Board similarly request that the Membership of the Notice Board of a particular Member be terminated then on receipt of such request through complaints@realstew.com the relevant Membership of the Notice Board will be terminated.
64. Products & Services irrespective as to the Country domicile of the RealStew Member will be paid for by the redemption of RealStew Credits.
65. RealStew Credits are priced at NZ$1-00 per unit with this being inclusive of GST when purchased by a Member domiciled in New Zealand and with no GST when purchased by a Member who is not domiciled in New Zealand.
66. Should a Member use any currency other than New Zealand dollars to purchase RealStew Credits the process will be to notionally convert the amount and currency used to New Zealand dollars, per the ruling exchange rate as selected by RealStew as the base reference, and purchase the number of RealStew Credits based on the exchange rate.
67. A 3% fee shall apply and be paid to RealStew where any currency other than the currency of the domicile of the Member is used to pay for RealStew Credits.
68. It is possible to purchase fractions of RealStew Credits up to two decimal points. The RealStew Credits may not be redeemed for cash. A member may not transfer RealStew Credits to another Member.
69. A Member can purchase RealStew Credits in one of two ways:
69.1. With the use of a Credit Card via Paypal.
69.2. Via the Member's RealStew Trading Accounts.
70. From time to time Members will subscribe for services and applications as promoted by RealStew for which they will authorise that recurring amounts of RealStew Credits may be ducted from their RealStew Credits account. Should it be that at any time there are not sufficient credits within the RealStew Credits account to cover these recurring deductions, RealStew is authorized to deduct sufficient funds from credit balances in any Trading Accounts held by such Member in RealStew to purchase RealStew Credits to cover these charges. Such deductions to be sufficient to cover the full amount to cover any RealStew Credits shortfall. Where the Member does not have credit balances in any Trading Accounts to cover the charge the Member’s RealStew Credits account will be levied any additional charge of 0ne RealStew Credit per 7 day cycle that the RealStew Credits account is over drawn. Should the account still be overdrawn after 30 days the Members RealStew Account and access to any and all services and applications will be suspended.

Creation of Ads for Publication on Notice Boards
71. Any Member will have the ability to 'Create an Ad' to be displayed and published on any Notice Board.
72. Any Member availing themselves of this service certifies that they are duly authorized to create and request that the created ad be published in terms of the criteria selected at the time of creating the ad.
73. Notwithstanding any directed URL for the channelling of any click through referrals, the Member creating the ad agrees to be liable for any fees associated with the service. Details of such fees will be made available at the time of the creation of the ad.

Month end book closure procedure
74. The Annuity Ledger accounts will be closed at midnight GMT time on the last day of the month
75. At this time the total earnings of the member in New Zealand Dollars will be calculated using the ruling foreign exchange conversion rate. RealStew Connect shall comply with any and all tax legislation as far as it relates to the management of this money and tax to be levied by any and all competent authority
76. A month-end ledger fee up to a maximum of an amount equal to the equivalent value of RealStew Credit, namely the current price of NZ$1-00 (one New Zealand Dollar), will be deducted in cash as a first charge on ALL annuity balances in ALL currencies. The said ledger fee for the currency shall be a lesser amount for the amount where the annuity earnings for that currency that month is less than NZ$1-00 equivalent for the month. Once this ledger fee deduction has been made, and after allowing for any withholding tax deduction as prescribed by the IRD, an amount not exceeding NZ$10-00 (Ten New Zealand Dollars) (foreign exchange equivalent) will be deducted from any balance and used to purchase a maximum of 10 RealStew Credits. The Member authorizes RealStew to make such deduction for the purchase of RealStew Credits from any accrued month end balance of annuity money.
77. An Annuity Ledger Account will be opened for the Active Member in each country in which Annuity funds may accrue.
78. A Trading Account will be opened and Maintained for each Active Member in each Country where Annuity Revenue may accrue.
79. Subject to any prevailing foreign exchange regulations, balances in any Trading Account exceeding NZ$10-00 (or the currency equivalent) may be transferred by any Member to any Trading Account the Member may hold anywhere in the World provided such transfer is not less than NZ$25-00 (or currency equivalent). The prevailing foreign exchange conversion rate for the purchase of currency as selected by RealStew shall be the base used for conversion, shall apply. Any transfer conversion of foreign currency will incur a processing fee of 3% of the amount converted.
80. The 3% foreign exchange conversion fee and ledger fees are redeemed as a cash charge on amounts transferred and converted and not paid for with the use of RealStew Credits.

Development and expansion of the RealStew Network
81. RealStew Connect Limited is tasked and mandated to expand the RealStew Network both in terms of Global reach and depth, in terms of product / service offerings and expansion of the Membership network.
82. Should the Board of Directors of the Company be of the opinion that a portion of the 54% revenue of reserved funds be held back and not distributed in a particular month or period and then used to invest in expanding the Network offering then the Board shall in terms of this clause withhold certain portion of the funds during this period.

Tax and the Distribution of accumulated RealStew Annuity funds at the end of the Trading Period
83. The RealStew Trading and value-added services are offered on a geographical basis with services rendered and paid for by the redemption of RealStew Credits
84. RealStew Connect Limited is registered and domiciled in New Zealand. RealStew Credits are sold in New Zealand, denominated in New Zealand dollars and therefore RealStew Connect will comply with the tax laws as applicable in New Zealand.
85. No funds accruing to any member shall be distributed to such Member until such time that the Member has, to the satisfaction of RealStew, has proved the Members identify and country of domicile.
86. A full accounting of all deductions and payments made to the IRD will be made to the Member with each payment made incurring a payment fee of NZ$1-00 (inclusive of GST where applicable) will be made.
87. All Members will subscribe to the use of the On-Line Tax and Deduction Management Application as provided by RealStew Connect for the management and accounting of all income from RealStew and payments made to the IRD and processing of any deductions as and if the Member wishes to claim any taxable deductions.
88. Where the accumulated annuity earnings before any tax deduction is less than NZ$50-00 for the foreign exchange equivalent the levy for the use of the On-Line Tax and Deduction Management Application shall be a maximum of one RealStew Credit. Where the accumulated earnings before tax is more than NZ$50-00 for the month the subscription fee shall be 5 (five) RealStew Credits. Where the accumulated earnings before tax is more than NZ$500-00 then the subscription fee shall be 10 (ten) RealStew Credits. It is the responsibility of the Member to make their own enquiries as regards their tax liability and RealStew Connect shall not be held liable in any way for any non-compliance
89. RealStew shall not be liable for any error made in the course of determining any tax liability and any error made with regards to the payment of any tax nor liable for any payment made by RealStew to any Member or entity where the Member has requested that such payment be made. Any payment made will carry a transaction fee, equal in value of 10% of the amount so paid or NZ$1-00 (with our without GST) which ever the lesser. Save for any tax liability payments to the IRD any other payment will be to the Trading Account of the Third Party.
90. Any and all products, services and transactional fees will be raised in the currency of the country where the service is supplied to the party acquiring the product or service but invoiced out of New Zealand. Where the product or service is rendered in New Zealand to New Zealand based Members the invoice so raised will be GST inclusive. Where the product or service is rendered outside of New Zealand to Members not registered as being domiciled for tax purposes in New Zealand the invoice so raised will be the quoted amount exclusive of GST.

RealStew Penalty for breach of rules of engagement
91. RealStew is a Social Network site that requires all Members to respect and honour the core principles of RealStew, namely to respect the principle of sharing and when contracted either by the RealStew Network itself or in the engagement between Members to respect any contractual obligation agreed to as and between the parties.
92. Should Members be in breach of any of the rules then, at the sole and absolute discretion of the RealStew Management Company, a forfeiture penalty of 5% of the value of the Annuity earnings for the month shall be applied against the RealStew Annuity Earnings in the Country where the Member breeched the rule in the month of the in fraction.
93. These rules of engagement, the breach of which will result in a forfeiture penalty being applied, will be published from time to time and as the need arises.
94. All Members will be expected to understand the rules and also be expected to keep up to date with regards to the penalty rules and there will be no right of appeal or review of any decision by the RealStew Management Company to enforce the Rule.

Trading of beneficial rights in shares held by the founding Directors.
95. The founding directors are collectively the registered holders of share capital in the RealStew Connect Limited. These shares are hereby referred to as Founding Shares
96. These shares are registered in their personal names and / or family trusts and / or holdings companies.
97. The Online Trading Platform to be set up for the 'trading of shares', is limited to the trading of beneficial rights to shares held by Members to the Nominee shares held by RealStew Nominees Limited.
98. The founding directors have the following restrictions imposed on them with regards to the trading, alienation or encumbrance of these Founding Shares:
98.1. There is no restriction in respect of 1% of the shares from the date of their issue.
98.2. From the 1st October 2010 there is no restriction in respect of 5% of the shares
98.3. From 1st March 2011 there is no restriction in respect of 20% of the shares
98.4. From the 1st October 2011 there is no restriction in respect of 50% of the shares
98.5. From the 1st March 2012 there is no restriction in respect of 100% of the shares.
99. Should any registered owner of any of the unrestricted Founding Shares wish to trade any of their rights with regards to these shares on the Trading Platform to be set-up on the RealStew Connect site for such purpose then prior to any such trade taking place the Holder of the shares shall transfer such shares that are to be subject to the trade to RealStew Nominees Limited and they shall be added to the Nominee shares parcel so held.

No objection to the trading of the beneficial rights to shares held by the RealStew NZ Limited as Nominee Company
100. No RealStew Connect Member that is a holder of beneficial rights to shares held in the collective parcel of Nominee Shares by RealStew Nominees Limited shall object to the trading of the rights to these shares on the Trading Platform for the trading of these rights on the RealStew Connect Site.
101. All trades relating to the trading of these rights shall be done on an exclusive basis through the Trading Platform set up and operated by the Company for such purpose.

RealStew Connect Limited Source of Revenue
102. The source of RealStew Connect Limited's revenue will be the retention of 35% of any and all transactional fees, subscription fees to the Foundation Club and all service fees levied by the Company. In addition RealStew Connect Limited will retain all interest earned on all monies held to its credit in the accounts of RealStew Nominees Limited and any other associated company managed and controlled by RealStew Connect Limited.
103. RealStew Connect Limited will develop applications and services to facilitate the processing and management of annuity ledger accounts including the transferring of these funds through foreign exchange markets. Any fees levied for the use of these services will be included in the transactional fee pool of services levied by the company.
104. Excluded from the revenue of RealStew Connect Limited will be passive income earned by the realstewnz@gmail.com Annuity Account and info@realstew.com, which is the overall administrator and default registered 'Parent' on all Member registrations made directly on the www.realstew.com URL.
105. The Annuity Account linked to the registration realstewnz@gmail.com and info@realstew.com has been acquired by and is owned and is under the managedment and control of RealStew Holdings Limited.

Change of Country Of Domicile
106. A Member has a recognized Country domicile as recorded at then time of the Members initial registration.
107. A Member may make an application to change the registered name and the Country domicile and at the time of making such application shall provide reasons for wanting to change the domicile.
108. RealStew Management shall, at its sole discretion, decide whether to accept the said changes the Country domicile and in exercising such discretion shall not be required to give reasons.
109. RealStew Management may impose a fee to effect any change.

Change of e-mail address / Linking e-mail addresses
110. A Member will have the ability to change the e-mail address linked to the Registration provided the New E-mail address is not already registered within the system as being registered in the system to an existing Member.
111. A fee equal to one RealStew Credit will be levied when any change in the e-mail address shall apply.

RealStew’s undertaking to Application Developers
112. RealStew Management recognizes that it requires the initial and unconditional support of the Application Developers Market.
113. RealStew Management recognizes that this support cannot be guaranteed unless Developers are assured that RealStew shall not compete in anyway with these Developers in the formulation and development of Applications.
114. This preclusion shall not exclude Founding Shareholders, Directors and Officers of the RealStew Management Company directly or indirectly assisting with the development of RealStew Applications.
115. Any Application developed for RealStew will be done so in accordance with protocols and basic principles as formulated by the RealStew Management Company or its appointed / authorized agents and as updated from time to time.
116. Any RealStew Application shall adhere to inter alia the following principles:
116.1. They shall be trustworthy in that they shall not mislead or surprise the Member in terms of the use of the Application; and they shall respect the Members privacy and they shall not in any way spam the Member. There is no issue with regards to e-mail authentic communication but not to the point where it is irritating or tantamount to 'spamming' the Member.
116.2. The Application shall be geared to building a social and engaging experience, give users choice and control and at all time provide Members with an "opt in" experience.
116.3. Every Application must have a clear and upfront link to its Privacy Policy and other applicable policies and this link needs to be accessed on every page of the application and positioned in a clear position on the page.
116.4. No Application must surprise, confuse, mislead or defraud the Member and must not violate any law or rights of an individual, business or entity and in no way expose RealStew to any reputational or legal liability.
116.5. No Member's 'cession key' may be used in any Application to call on behalf of another user, nor can there be any functionality that proxies, collects or requests RealStew usernames, referral codes or passwords or any security linked questions / answers.
116.6. No data received from RealStew in the course of the operation of the Application can be stored for longer than 24 hours without receiving in writing the permission of RealStew Management to do so in advance of such extended storage taking place.
116.7. No data received may be given to third parties nor used for any purpose outside of RealStew without the prior written permission of the RealStew Management.
116.8. No data received from RealStew, irrespective as to whether obtained while running an Application, or any other reason may be converted into third party independent data and cannot then be used for any other off-site application, published or distributed in any way.
116.9. On receipt of an Application and approval thereof by the RealStew Management Company, a 'secret key' will be issued by RealStew to the developer and / or his duly authorized agent that will allow the holder of the key permission to access any Administrative tools and systems linked to the application. RealStew takes no responsibility to any damage or loss that the developer or owner of the Application may suffer should it inadvertently or negligently allow a third party access to the key.
117. The developers of Applications are responsible for all content within the Application, including user-generated content and at no point will it allow adult content of a sexual or suggestive nature, obscene, defamatory, libellous, slanderous and unlawful nature. This prohibition shall include the use of copyright, trademark, privacy or anything of a deceptive or fraudulent nature.
118. No application shall promote liquor, beer, alcohol, tobacco, recreational drugs, gambling or religious debate or content. The prohibition shall also apply to any political organization or political belief or debate, hate speech whether directed at individuals, groups or communities, marital status, sexual orientation, language or gender identity or anything illegal such as pyramid schemes, sweepstakes or chain letters.
119. All Applications must have the ability for users to report or complain about user content and experience and for these comments to be copied automatically to RealStew Management.

Application Acceptance, Enforcement and deletion
120. No Application may be enabled or activated unless approved by RealStew Management in terms of agreed protocols.
121. RealStew Management shall have the right to bring any enforcement action it deems necessary to protect any of RealStew's interests including the disenabling of the Application. It shall be the sole judge as to whether the Application violates the rules or in anyway is detrimental to RealStew and / or its Members.
122. No Application will be accepted where RealStew Management is of the view that the Application is in conflict in whatever way with an existing Application running on the site whether an Application from a Third Party Developer or RealStew itself. RealStew Management shall be the final arbitrator in deciding whether the Application or planned Application will in breech of this conflict rule.
123. No Application will be accepted where RealStew Management is of the view that the Application is not the original work and discovery of the Third Party Developer and the acceptance of the Application could possibly subject to RealStew to litigation for whatever reason.

Donations Made on the instruction of Members
124. RealStew, working in conjunction with registered Charities, will provide a service whereby at the end of each month when the transfer of Annuity balances from Annuity Accounts are transferred to Trading Accounts that a Member may authorize that either a set amount or a portion of the transferred amount be redirected to the Trading Account of one or more registered Charity.
125. Where such transfer is so affected in terms of such authority from the Member, RealStew shall not levy a transaction fee in respect of such transfer.
126. Where applicable the Member making such donation shall receive an acknowledgment and certificate from the Charity confirming the receipt of the donation.

The synchronizing of Members contacts and sharing of updated information
127. On a Member upgrading their Status to Member who is Not Sharing (and then possibly to Member who is Sharing) the Member agrees to retain a copy of all of their e-mail contacts on their Members Contact Register and to maintain data from time to time on these contacts when such data comes to hand. The Member acknowledges that it is aware that RealStew utilizes a contact-importer feature to help Members to identify people from their email address books who are current members of RealStew. These Contacts are added to the Members Contact Register along with any new Contacts subsequently linking up on the Members e-mail system. When Contacts are added to the Members Contact Register the Member will automatically be asked whether they wish to ask the New Contact to verify their Contact information. Recipients of advice and request to update their information may opt out of receiving future advice and requests via a convenient link located in the email.
128. The Member authorizes RealStew to advise them as to the Weblet addresses of any of their Contacts as and when these Contacts register Weblets themselves on the RealStew platform and similarly authorizes RealStew to advise the Members contacts of their Weblet address and from time to time when they update their Weblet.
129. It is recorded that RealStew acknowledges that the list of the Contacts linked to each Member is private to the Member and information as to who is on whose contact list will never be shared with other Members.
130. In the spirit of collectively benefiting from the pool of gathered information the Members agree that any information recorded in the ‘My Entries’ component of the Contact Registry / Book maintained by the Member may be used to confirm information and or update any RealStew data repository as and when this information is added and or updated. It is recorded that the source of any updated / added information on the Member Contact will never be disclosed.
131. It is recorded and noted that any information or data gathered by RealStew and published in its directory of information and / or shared with Members is of public records and not of a privileged nature and the process of sharing the information is in the spirit of convenience and for the benefit of registered Members.
132. It is recorded that should a Member elect to cancel Membership and unsubscribe, such decision will result in the unsubscribed Member no longer having access to any applications or services. Any publically available information or data of the former Member shall still remain on the repository and continue to be updated by any Member in the course of communicating with any RealStew registered Member.

Hotstew
133. HotStew Offers and Created Ads are applications within the RealStew platform where Members present offers or proposals or claims and assertions for other Members, Visitors to RealStew or Prospective Members to consider.
134. The Member presenting the offer or proposal or in the case of Created ads making claims and assertions will determine the conditions under which the offer or proposal may be accepted and be the sole author of the claims & assertions.
135. Notwithstanding the conditions under which the parties may agree in time to Contract the Members agree that, save for facilitating the process and platform upon which the parties can present, consider and then accept the offer or enter into any negotiations that may result in the parties contracting at some future time, Realstew Connect shall not be responsible or liable from a product liability, party performance or consumer liability in respect of any product or service so rendered or be held liable for any claim or assertion made in the HotStew Offer or Created Ads.
136. The Member taking up or accepting the offer or relies on any claim or assertion made in the Created ad confirms that as an element of such acceptance including on the clicking on a Created Ad resulting in the Member, Visitor or prospective Member being directed to the Website or screen presenting further information in respect of the HotStew Offer or promotion will result in an exchange of contact details as and between the parties and in the process facilitate a process whereby the parties may communicate on the RealStew platform.
137. It is agreed further as a condition of accepting any such offer or proposal the Member shall agree to be bound by these terms & conditions of Membership of RealStew

Interpretation of the Terms & Conditions
138. Should any Member wish to have clarity as to the understanding or otherwise of any term and condition they shall refer their question or query to the Board of Directors of RealStew Connect Limited whereupon it will be answered.
139. Should there be any dispute with regards to the interpretation as to understanding, application or enforcement of any clause then the ruling and interpretation as put forward by the Board of Directors of RealStew Connect Limited shall apply.
